In 2021 Russia-based companies started experiencing difficulties when applying for registration of a change of their sole executive body. Indeed, registration procedures are often suspended by the tax inspectorates when a foreign citizen is appointed as a new sole executive body (General Director).
Registration formalities are suspended based on a formal ground of “provision by the applicant (new sole executive body) of information that contradicts the information available to the territorial inspectorate”. However, it is not clear whether the tax inspectorates do really request the information from the migration authorities.
In order to resume the registration procedures and refute the presumed inaccuracy of information the applicant shall attend an interview with the tax inspectorate and provide the documents and information confirming the facts stated in the registration application form.
Unfortunately, this practice significantly increases the timing of the registration formalities and seriously interferes with the companies’ normal business activities. Informal prior notification and approval of a candidate with the tax inspectorate are not always helpful in terms of overriding this new difficulty.
